These Terms of Service ("Terms") govern your purchase, download, and use of the Local Bridge software ("Software"), a product of The Neritic ("The Neritic", "we", "us", "our"). By using the Software, you agree to these Terms. If you do not agree, do not use the Software. These Terms are specific to Local Bridge and are separate from The Neritic's general website Terms of Use.

1. Acceptance of Terms

By purchasing, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Software on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. License Grant & Restrictions

Local Bridge is commercial, proprietary software. Upon purchase via Whop or an authorized platform, you are granted a limited, non-exclusive, non-transferable, perpetual license to use the Software for personal or internal business purposes.

You may not:

Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
Resell, redistribute, sublicense, or publicly share your license key or binary files.
Use the Software to facilitate illegal activities, distribute malware, host illegal content, or bypass lawful network restrictions.
Remove or alter any proprietary notices, labels, or marks on the Software.
Use the Software in a manner that could damage, disable, or impair any server, network, or system.

3. Device Activation Limits

Each license key permits activation on up to 10 devices. You may manage your active devices using the localbridge reset command. If you require additional activations, contact us using the support or contact options provided on Whop or by email.

4. Payment & Billing

Local Bridge purchases are sold through Whop Payments. For those transactions, Whop acts as the Merchant of Record and handles checkout, payment processing, billing, and applicable indirect tax collection and remittance under its platform terms and policies.

For billing inquiries, payment disputes, receipts, or invoice requests, use the relevant order, billing, or support flow in your Whop account.

5. Refund Policy

Our standard policy is a 7-day refund windowfrom the date of purchase. Refund requests must be submitted through Whop's order history, support flow, or Resolution Center, and are reviewed under our refund policy together with Whop's buyer terms and dispute procedures. After 7 days, refunds are generally not offered except where required by law or by Whop's platform rules.

6. Intellectual Property

The Software, including all source code, object code, documentation, design, user interfaces, branding, and associated materials, is the exclusive intellectual property of The Neritic and is protected by applicable copyright, trademark, and intellectual property laws. Your license grants usage rights only — no ownership, copyright, or intellectual property rights are transferred to you through your purchase.

7. Third-Party Services

The Software integrates with third-party services to deliver its core functionality. Your use of these services is subject to their respective terms and policies:

Cloudflare: Network tunneling is powered by Cloudflare's edge network, subject to the Cloudflare Online Services Terms of Use.
Whop: Purchase and licensing are managed via Whop, subject to the Whop Terms of Service.

We are not responsible for the availability, uptime, performance, or policies of third-party services. Cloudflare's quick tunnel infrastructure (used for account-less tunnels) does not carry an uptime guarantee.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE NERITIC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ARE SOLELY RESPONSIBLE FOR CONFIGURING PROPER PASSWORDS, IGNORE FILES, AND ACCESS CONTROLS WHEN SHARING YOUR LOCAL DIRECTORIES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE NERITIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DATA LOSS, UNAUTHORIZED ACCESS TO TUNNELED CONTENT, BUSINESS INTERRUPTION, OR LOSS OF PROFITS. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

10. Indemnification

You agree to defend, indemnify, and hold harmless The Neritic, including its officers, directors, employees, and agents, from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) arising out of or in connection with: (a) your use of the Software; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you share through Local Bridge tunnels.

11. Account Termination

We reserve the right to revoke your license and terminate access to the Software, without prior notice or liability, if you violate these Terms, engage in fraudulent activity, or use the Software for illegal purposes. Upon termination, you must cease all use of the Software and delete all copies from your devices.

12. Corrections

There may be information on our website or in our documentation that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to update information at any time without prior notice.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Software after any changes constitutes your acceptance of the revised Terms. For material changes that significantly affect your rights, we will make reasonable efforts to provide notice through the Software, our website, or via email.

14. Age Requirement

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to purchase and use the Software. By purchasing, you represent and warrant that you meet this requirement. We do not knowingly sell to or collect data from individuals under 18 years of age.

15. Governing Law

Except where Whop's platform terms govern checkout, billing, payments, or related disputes, these Terms are governed by applicable law, excluding conflict-of-law rules, unless mandatory consumer protection law requires otherwise.

16. Dispute Resolution

Informal Negotiations: To expedite resolution and reduce costs, both parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any formal proceedings. Such informal negotiations begin upon written notice from one party to the other.

Platform disputes and escalation:Payment, billing, chargeback, and refund disputes should first be raised through Whop's relevant support or Resolution Center flow. Product-specific disputes should first be raised with us directly using the contact details below. Any remaining dispute will be resolved in the forum required by applicable law or otherwise agreed in writing by the parties.

Exceptions: The following disputes are not subject to the above provisions: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to allegations of theft, piracy, or unauthorized use; and (c) any claim for injunctive relief.

17. Export Compliance

The Software utilizes industry-standard TLS encryption provided by third-party infrastructure (Cloudflare). You are responsible for ensuring that your use of the Software complies with all applicable export control laws and regulations in your jurisdiction. You may not use or export the Software in violation of any applicable laws.

18. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Neritic regarding the Software and supersede all prior or contemporaneous agreements, proposals, or representations. Our failure to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision.
